01. Agreement to Terms & Parties

These Terms of Service (the "Terms" or "Agreement") constitute a legally binding contract between you (the "Client", "User", or "You") and RealMM ("RealMM", "we", "us", or "our"), operating via the website realmm.ca, the official Discord handle @realmm, and the verified Discord server community discord.gg/realmm.

By browsing realmm.ca, joining the RealMM Discord server, inviting or interacting with the RealMM automated bot, submitting bids in auctions, depositing collateral, or opening or participating in an escrow/middleman ticket, you acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms.

If you do not agree to every provision of these Terms, you must immediately cease all access to the website, leave the Discord server, and refrain from initiating or participating in any RealMM-mediated transactions.

02. Eligibility & User Representations

By engaging RealMM services, you represent and warrant that:

Legal Age & Capacity: You are at least 18 years of age (or the legal age of majority in your jurisdiction of residence) and possess full legal authority and contractual capacity to enter into binding agreements. If you are between 13 and 17 years old, you may only access the platform with the verified permission and ongoing supervision of a parent or legal guardian who agrees to be bound by these Terms. Under no circumstances may individuals under 13 years of age use RealMM services.
Account Authenticity: You are the sole authorized owner of the Discord account, cryptocurrency addresses, and payment accounts utilized during the transaction. Impersonating staff, counterparties, or any third party is grounds for immediate blacklisting and forfeiture of collateral.
Compliance with Laws: Your use of RealMM services, transactions, and consideration does not violate any applicable local, provincial, state, national, or international laws, including anti-money laundering (AML), sanctions, or tax regulations.
Asset Authority: You are the legitimate and rightful owner of any digital items, software licenses, tokens, or collateral deposited into escrow, and said assets are free from third-party liens, claims, or illicit origin.

03. Nature of Intermediary Services & Scope

RealMM provides independent, neutral intermediary facilitation and escrow technology for peer-to-peer (P2P) Discord transactions. Our core offerings include:

Professional Middleman Services: Impartial human oversight and temporary custody of agreed digital assets (e.g. digital accounts, licenses, game items, cryptocurrency collateral) pending fulfillment of trade conditions between two consenting users.
Auction Bot System: Automated bidding and collateral locking mechanisms designed to ensure auction integrity and penalize non-performing winning bidders.
Smart Contract Relay: Ethereum/EVM-based on-chain address linking, automated collateral locking, and programmed execution of refunds or collateral releases.

Crucial Scope Limitation: RealMM is strictly an independent facilitator and technological stakeholder. RealMM is NOT a party to the underlying commercial agreement between the buyer and seller. RealMM does not manufacture, inspect the internal code of, control, warrant, or guarantee the merchantability, authenticity, or longevity of any digital asset traded between users.

04. Regulatory, Banking & Financial Disclaimers

Strict Zero USD Fiat Custody Policy

RealMM operates under an unequivocal Zero USD Holds Policy. RealMM does not maintain fiat depository accounts on behalf of clients, does not accept fiat wire deposits, and will never custody, hold, or escrow fiat currencies (such as USD, CAD, EUR, or GBP).

Users expressly understand and agree:

Not a Bank or Depository Institution: RealMM is not a bank, trust company, credit union, insured depository institution, or registered money services business (MSB). Funds and assets deposited with or routed through RealMM are not insured by the FDIC, CDIC, or any governmental deposit insurance agency.
No Interest: RealMM does not pay interest or investment returns on cryptocurrency collateral or digital assets held in escrow custody.
Peer-to-Peer Fiat Settlements: Where a transaction involves fiat currency consideration (e.g., via PayPal Friends & Family), such payment is transferred directly from the buyer to the seller. RealMM's custody is confined strictly to the digital good, collateral, or cryptocurrency asset pending confirmation of the direct peer-to-peer transfer.

05. Escrow Protocol & Trade Execution

Every transaction facilitated by RealMM must strictly adhere to our 4-Stage Trade Protocol. Deviation from this protocol voids staff protections:

Stage 1: Ticket Initiation & Specification

All trades must originate within an official private ticket generated on the verified RealMM Discord server (discord.gg/realmm) or through direct verified communication with @realmm. Both counterparties must explicitly post and agree upon:

Full description of items, accounts, or assets being exchanged.
Agreed consideration (exact cryptocurrency amount or PayPal amount).
Designation of which party pays the RealMM intermediary fee.
Explicit payout wallet address or recipient details.

Notice: Unofficial communications outside the designated ticket (such as external private DMs without staff verification) are completely unauthorized and unenforceable.

Stage 2: Collateral & Asset Deposit

The party supplying the secured asset or collateral deposits the asset into RealMM custody (our designated secure bot, smart contract relay, or verified staff custody wallet). RealMM staff or bot logic confirms receipt of the asset on-chain or in-app prior to authorizing the counterparty to proceed.

Stage 3: Delivery & Inspection

Upon confirmed custody, the counterparty delivers their designated consideration or credential transfer directly as instructed in the ticket. The recipient is granted a reasonable inspection window (default 30 minutes unless otherwise mutually agreed in the ticket text) to verify receipt and accessibility.

Stage 4: Resolution & Release

Upon mutual confirmation from both counterparties, or upon verifiable proof of fulfillment (e.g., verified on-chain TXID or confirmed credential delivery), RealMM releases the held assets to the rightful recipient and closes the ticket. Once assets are released, the escrow transaction is permanently settled and irreversible.

06. Fee Schedule & Payment Obligations

RealMM charges transparent, non-negotiable service fees for its intermediary, verification, and escrow operations.

Payment Rules & Non-Refundability

Accepted Currencies for Fees: Bitcoin (BTC), Ethereum (ETH), Litecoin (LTC), Solana (SOL), and PayPal (strictly Friends & Family).
Fully Earned Upon Commencement: RealMM intermediary fees cover the administrative, security, and verification labor performed by staff and automated systems. Once collateral has entered custody or staff has commenced active review, all service fees are deemed fully earned and non-refundable, regardless of whether the counterparties ultimately complete or abandon the trade.
Allocation of Fee: If the counterparties fail to specify who pays the fee in the initial ticket agreement, the fee shall be deducted directly from the deposited collateral or split equally (50/50) between buyer and seller.

07. Auction Engine, Collateral Locks & Liquidated Damages

Participation in RealMM-hosted auctions is subject to strict collateral requirements designed to protect buyers, sellers, and auction integrity.

1. Mandatory Collateral

To submit valid bids in designated auctions, participants must lock cryptocurrency collateral (BTC, ETH, SOL, or LTC) via the RealMM auction bot or smart contract relay. Collateral is safely accounted for on the bot and maintained in secure custody.

2. Bids are Irrevocable Contracts

Every bid placed through the RealMM system constitutes an irrevocable, legally binding offer to purchase the listed lot at the bid amount upon auction conclusion. Bids cannot be retracted or cancelled once submitted.

Liquidated Damages for Defaulting Winning Bidders

If a bidder wins an auction but fails, refuses, or neglects to complete the purchase and settle the required payment within the stipulated closing window (default: 24 hours):

Collateral Retention: The RealMM system retains a non-refundable portion of the collateral equal to the winning bid amount divided by ten (Bid ÷ 10), or the entire posted collateral lock if smaller.
Liquidated Damages Agreement: Both parties expressly agree that this retained amount represents a reasonable pre-estimate of liquidated damages reflecting lost auction momentum, staff administrative costs, market fluctuation risk, and compensation to the auction host for trade disruption, and does not constitute a penalty.
Return of Excess: Any remaining collateral balance exceeding the liquidated damages deduction is automatically returned to the user's verified refund address.
Automated Blacklisting: The defaulting user is immediately and permanently blacklisted from all future RealMM auctions, Discord services, and affiliated partner networks.

08. Smart Contract Relays & Blockchain Risks

RealMM deploys and maintains smart contract integrations (primarily Ethereum and EVM-compatible chains) to automate collateral locking and releases. By using our smart contract systems, you agree to the following technical parameters:

Irreversibility of Blockchain: You acknowledge that transactions recorded on a distributed public ledger are final, immutable, and technically irreversible. RealMM has no physical or legal capability to reverse, claw back, or alter an on-chain transaction once broadcast and confirmed.
Wallet Address Accuracy: You bear sole and absolute responsibility for providing exact, correct, and compatible public wallet addresses for collateral deposits and refunds. RealMM disclaims all liability for funds lost due to user typos, incompatible networks (e.g. sending tokens over an unsupported Layer 2 or chain), or missing memo/tag fields.
Gas Fees & Network Latency: All blockchain network transaction fees ("gas") required to deposit, transfer, or release collateral are the sole responsibility of the initiating user. RealMM is not liable for transaction failures or delays caused by network congestion, chain reorganizations, or validator downtime.
Administrative Override Rights: To protect users against software bugs, exploits, or malicious contract interactions, RealMM retains full administrative authority to trigger emergency pause functions, manual overrides, or offline multisig interventions during active disputes or security events.

09. PayPal Policy & Absolute Prohibition on Chargebacks

Where PayPal is permitted between counterparties or for payment of RealMM service fees, the following rules apply without exception:

Strictly Friends & Family (F&F): Any PayPal transfer must be executed strictly via the "Friends and Family" personal transfer option. Commercial "Goods and Services" payments that artificially manipulate buyer protection for peer-to-peer virtual escrows are strictly prohibited.

Strict Zero-Tolerance Chargeback Policy

Initiating a chargeback, payment reversal, unauthorized transaction claim, or financial dispute through PayPal, a bank, or a credit card company after RealMM has released escrowed assets or completed verification constitutes intentional civil fraud, conversion, and a material criminal breach of this Agreement.

In the event of an unlawful chargeback or dispute:

The offending user is immediately and permanently blacklisted across all RealMM services and Discord servers.
The user's Discord ID, IP logs, known payment handles, and ticket transcripts are submitted to public anti-scam databases and community scam registries.
RealMM and the aggrieved counterparty reserve all legal rights to initiate collection proceedings, file formal police reports for internet fraud, and pursue civil litigation to recover the disputed sum, plus interest, collections expenses, and legal fees.

10. Virtual Assets, Account Sales & Platform EULAs

Peer-to-peer trades often involve digital collectibles, software licenses, gaming assets, or virtual accounts. Users must understand and accept the following risk allocations:

Third-Party Platform Terms: You expressly acknowledge that the commercial transfer, sale, or trade of certain virtual items or user accounts may violate the End User License Agreements (EULA) or Terms of Service of third-party platforms (e.g., Discord Inc., Epic Games, Valve, Riot Games, Blizzard, or game publishers). RealMM is an independent third-party escrow and does not endorse, encourage, or validate violations of third-party platform rules.
Post-Delivery Recall / "Pullback" Disclaimer: RealMM's intermediary duty terminates the moment credentials, assets, or keys are verified and released to the buyer in accordance with ticket instructions. RealMM offers ZERO warranty and accepts ZERO liability if a seller subsequently recovers, "pulls back", or locks an account via original creation email (OGE), support tickets, or password resets after escrow closure.
Buyer Recourse: In the event of a post-trade pullback or account recovery, the buyer's sole legal remedy is directly against the seller. RealMM will cooperate with legitimate inquiries by providing ticket transcripts and transaction records, but RealMM will not refund fees or compensate for losses resulting from post-escrow bad faith by the seller.

11. Dispute Resolution & Authority of RealMM Staff

In the event of a dispute, disagreement, or conflicting claim between counterparties while assets remain in RealMM active escrow custody:

Exclusive Arbiter: RealMM staff shall act as the sole, final, and impartial arbiter of fact. Both parties irrevocably empower RealMM staff to evaluate all submitted evidence.
Evidence Standards: RealMM staff relies strictly upon verifiable, timestamped evidence, including on-chain transaction hashes, unedited screen recordings, raw email headers, and official platform audit logs. Fabricated or edited screenshots constitute grounds for immediate ruling in favor of the counterparty.
Finality of Determination: The ruling of RealMM staff regarding whether conditions were met, and whether assets/collateral should be disbursed, returned, or retained, is final, binding, and conclusive on both counterparties. Users agree never to assert legal claims against RealMM based upon a good-faith dispute determination made within the scope of an escrow ticket.
Inconclusive Evidence: If evidence is thoroughly inconclusive, RealMM reserves the right to restore both parties to their pre-escrow status by returning deposited assets to their respective originators (minus incurred network gas fees and the standard minimum service fee).

12. Prohibited Conduct & Community Security

You agree not to engage in any of the following prohibited behaviors:

Engaging in fraud, deceptive practices, phishing, fake proofs, or forged blockchain transaction hashes.
Depositing assets or currency derived from ransomware, stolen credit cards, hacked accounts, or illicit darknet activity.
Impersonating RealMM staff, administrators, bots, or counterparties via fake Discord handles or server clones.
Harassing, threatening, doxxing, or attempting to extort RealMM staff or other community members.
Using automated scripts, bots, or exploit tools against the RealMM website, auction bot, or smart contracts without authorization.
Violating any sanctions program administered by the Government of Canada, OFAC, or the United Nations.

Violators are subject to immediate termination of service, permanent blacklisting, forfeiture of collateral as liquidated damages, and referral to law enforcement agencies.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

ALL REALMM SERVICES, THE WEBSITE (REALMM.CA), THE DISCORD BOT, AUCTION TOOLS, SMART CONTRACT RELAYS, AND INTERMEDIARY VERIFICATIONS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

REALMM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE, OR THAT SMART CONTRACT CODE OR DISCORD BOT SERVERS WILL BE IMMUNE FROM DOWNTIME, LATENCY, EXPLOITS, OR THIRD-PARTY ATTACKS.

14. Limitation of Liability

Liability Cap Provision

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL REALMM, ITS OPERATORS, FOUNDERS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, DATA, GOODWILL, REPUTATION, OR COMMERCIAL OPPORTUNITIES;
LOSS OR CORRUPTION OF CRYPTOCURRENCY, DIGITAL ASSETS, VIRTUAL ACCOUNTS, OR KEYS;
ACCOUNT BANS, RESTRICTIONS, OR SEIZURES IMPOSED BY DISCORD OR THIRD-PARTY GAME PUBLISHERS.

MAXIMUM AGGREGATE LIABILITY CAP: UNDER ALL CIRCUMSTANCES, REALMM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, ANY ESCROW TRANSACTION, OR THE USE OF OUR SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE EXACT SERVICE FEE AMOUNT ACTUALLY RECEIVED BY REALMM FROM YOU FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR $100.00 CAD, WHICHEVER IS LESS.

15. Indemnification

You agree to fully defend, indemnify, and hold harmless RealMM, its owners, operators, and staff from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

Your breach or alleged breach of any provision of these Terms;
Your fraudulent, deceptive, or illegal acts during any transaction;
Any dispute between you and your transaction counterparty;
Your violation of third-party rights, including intellectual property or third-party platform EULAs; or
Your violation of any applicable law, rule, or regulation.

16. Governing Law, Dispute Resolution & Contact

Governing Law & Jurisdiction

These Terms, and any dispute or controversy arising out of or related to RealMM services, shall be governed by, construed, and enforced in accordance with the laws of Canada and the Province of Quebec, without regard to conflict of law principles.

Mandatory Informal Resolution

Before filing any formal legal claim, you agree to make a good-faith effort to resolve the dispute informally by contacting RealMM administration. You must provide a written notice of dispute setting forth the facts, transaction ID, Discord handle, and proposed remedy. The parties agree to negotiate in good faith for at least thirty (30) days following receipt of such notice before initiating any formal proceedings.

Severability & Entire Agreement

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and RealMM regarding intermediary and escrow services.
